These Terms & Conditions ("Terms") govern participation in the Caimera Creative Partner Program ("CPP Program" or "Program").
The Program is operated by Bahaal Technologies Private Limited, operating the Caimera platform ("Caimera", "we", "our", or "us").
By accepting an invitation to participate in the Program, accessing the Caimera platform under the Program, or submitting any deliverables, you ("Creator" or "Participant") agree to be bound by these Terms. If you do not agree to these Terms, you must not participate in the Program.
1. Program Overview
The Caimera Creative Partner Program is an invite-only creator collaboration initiative under which selected creators may create AI-generated creative assets using the Caimera platform for evaluation, promotional use, commercial use, customer projects, marketing activities, and other business purposes.
2. Eligibility and Participation
Participation in the Program is by invitation and approval from Caimera and is available only to individuals who are legally capable of entering into binding agreements under applicable law. The Creator agrees to provide accurate information when requested and to comply with these Terms and any Program guidelines communicated by Caimera. Caimera may approve, reject, suspend, restrict, or terminate participation at any time, with or without notice and at its sole discretion. Participation in the Program is a privilege and not a right.
3. Scope of Work
As part of the Program, the Creator may be requested to create AI-generated content using the Caimera platform, comply with creative briefs, brand guidelines, timelines, and quality standards, submit materials for review, make reasonable revisions, and participate in mutually agreed promotional activities. Caimera may reject, modify, or decline to use any submission that does not meet its quality, creative, legal, customer, or business requirements. Submission of any deliverable does not guarantee acceptance, publication, use, attribution, compensation, or future engagement.
4. Ownership and Intellectual Property
All deliverables, prompts, creative concepts, AI-generated assets, images, videos, designs, campaigns, submissions, revisions, and related materials created, developed, or submitted by the Creator under the Program ("Creator Output") are created exclusively for Caimera, and all rights, title, and interest therein, including all intellectual property and exploitation rights, shall automatically vest in and belong exclusively to Caimera on a worldwide, perpetual, transferable, sublicensable, and royalty-free basis. To the extent any such rights do not automatically vest, the Creator irrevocably assigns all such rights to Caimera without further action, consent, notice, or compensation. Accordingly, the Creator shall not use, sell, license, sublicense, monetize, commercialize, transfer, distribute, or otherwise exploit the platform or any Creator Output for personal commercial purposes or for the benefit of any client, agency, brand, business, or other third party, except that non-confidential Creator Output may be displayed solely for personal portfolio or self-promotional purposes. Creator Output may contain visible and/or invisible watermarks, metadata, tracking identifiers, ownership markers, or other proprietary identification mechanisms designated by Caimera, which the Creator shall not remove, alter, obscure, disable, or circumvent.The Creator shall not represent themselves as an employee, affiliate, agent, reseller, ambassador, or authorized representative of Caimera, nor engage in any referral, affiliate, promotional, or marketing activity involving Caimera without prior written approval. Any violation of this clause shall constitute a material breach of these Terms and may result in the immediate suspension or termination of the Creator's participation in the Program, in addition to any other rights or remedies available to Caimera.
5. Creator Representations and Warranties
The Creator represents and warrants that they have the legal authority to enter into these Terms and participate in the Program, that such participation does not violate any applicable law or agreement, and that all content, materials, and deliverables submitted by them are lawfully created or used and do not knowingly infringe any third-party rights. The Creator further agrees to comply with all applicable laws and regulations and shall not submit any unlawful, misleading, defamatory, offensive, or infringing content. The Creator remains solely responsible for all content, materials, and deliverables submitted through the Program.
Attribution is optional and shall be provided solely at Caimera's discretion. Caimera may provide, modify, remove, or omit attribution at any time, and the absence of attribution shall not constitute a breach of these Terms or entitle the Creator to any compensation or claim against Caimera.
6. Payment and Compensation
Participation in the Program does not guarantee any payment, compensation, reward, incentive, future engagement, or commercial opportunity. Any payment, incentive, reward, commission, benefit, or other consideration shall be determined solely by Caimera unless otherwise agreed in writing, and Caimera may withhold, delay, reduce, cancel, recover, or apply applicable tax deductions to any such amounts in the event of a breach of these Terms, unsatisfactory deliverables, fraud, platform misuse, reputational harm, or as otherwise required by law. Acceptance or use of any deliverable shall not create any obligation for compensation, future assignments, or continued participation in the Program. The Creator is solely responsible for complying with all applicable tax, regulatory, reporting, and statutory obligations and for providing any tax, identity, or compliance documentation reasonably requested by Caimera in connection with participation in the Program or receipt of any payment or benefit.
7. Confidentiality
During the course of the Program, the Creator may receive or have access to confidential or proprietary information relating to Caimera, its affiliates, customers, partners, products, services, technology, product features, roadmaps, customer projects, internal processes, workflows, business strategies, financial information, marketing plans, trade secrets, and other non-public information ("Confidential Information"). The Creator agrees to keep all Confidential Information strictly confidential, not disclose it to any third party without Caimera's prior written consent, and use such information solely for the purpose of participating in the Program. The Creator shall take all reasonable measures to protect Confidential Information from unauthorized access, use, or disclosure.
Notwithstanding the foregoing, information, content, assets, deliverables, or materials that Caimera expressly authorizes for public sharing, portfolio use, social media publication, case studies, promotional activities, or marketing purposes shall not be considered Confidential Information to the extent of such authorization.
These confidentiality obligations shall survive termination of the Program and continue for as long as the Confidential Information remains non-public, regardless of the reason for termination.
8. Non-Circumvention
During participation in the Program and for a period of twelve (12) months thereafter, the Creator shall not, directly or indirectly, solicit, engage, contract with, provide services to, attempt to divert, or otherwise establish a business relationship with any customer, prospective customer, partner, lead, or business contact introduced to the Creator by Caimera through the Program for the purpose of bypassing or avoiding Caimera. Nothing in this clause shall restrict the Creator from conducting general business activities that are wholly independent of the Program and not based upon information, introductions, relationships, or opportunities obtained from Caimera.
9. Indemnification
The Creator shall defend, indemnify, and hold harmless Bahaal Technologies Private Limited and its directors, officers, employees, contractors, affiliates, successors, and assigns from any claims, losses, damages, liabilities, costs, or expenses (including reasonable legal fees) arising from the Creator's participation in the Program, breach of these Terms, violation of applicable laws, infringement of third-party rights, misuse of the platform or Caimera's intellectual property, unauthorized account access resulting from the Creator's actions or omissions, fraudulent conduct, negligence, or any false, misleading, or inaccurate representation made by the Creator.
Access to the Caimera platform is provided solely for participation in the Program. The Creator is responsible for maintaining the confidentiality and security of their account credentials, remains liable for all activities conducted through their account, and shall promptly notify Caimera of any actual or suspected unauthorized access or security breach. Caimera may suspend, restrict, or terminate the Creator's access to the platform or participation in the Program at any time, with or without notice and with or without cause, at its sole discretion. Upon suspension or termination, the Creator's access and participation rights shall immediately cease, and any unpaid incentives, rewards, credits, commissions, benefits, or other amounts may be withheld, cancelled, or forfeited. Suspension or termination shall not affect any rights, licenses, assignments, ownership interests, remedies, protections, or other rights previously granted to Caimera, all of which shall continue in full force and effect. Any provisions that by their nature are intended to survive, including intellectual property, confidentiality, indemnification, limitation of liability, dispute resolution, and enforcement rights, shall survive suspension or termination of these Terms.
10. Limitation of Liability
The Creator acknowledges and agrees that participation in the Program is entirely voluntary and at the Creator's own discretion and risk. Caimera shall not be liable for any loss, damage, claim, cost, expense, liability, or injury of any kind arising out of or relating to the Creator's participation in the Program, use of the platform, submission of deliverables, or reliance on any opportunities, communications, or information provided in connection with the Program.
The Program and the Caimera platform are provided on an "as-is" and "as-available" basis. Caimera makes no representations, warranties, or guarantees of any kind, whether express or implied, regarding the availability, uptime, functionality, performance, reliability, or uninterrupted operation of the Program or platform.
11. Force Majeure
Caimera shall not be liable for delays, interruptions, or failures resulting from events beyond its reasonable control, including natural disasters, governmental actions, internet failures, labor disputes, acts of war, pandemics, cyberattacks, or technical failures.
12. Amendments
Caimera reserves the right to modify, update, revise, or replace these Terms at any time at its sole discretion. Updated versions may be communicated through the Caimera platform, website, email, or any other reasonable method. By continuing to access the platform, participate in the Program, or use any Program-related benefits after such updates become effective, the Creator acknowledges and agrees to be bound by the revised Terms.
13. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of India.
Any dispute arising out of or relating to these Terms or the Program shall be subject to the exclusive jurisdiction of the courts located in Mumbai, India.
14. Entire Agreement
These Terms constitute the entire agreement between the Creator and Caimera with respect to the Creator's participation in the Program and supersede all prior and contemporaneous discussions, communications, understandings, representations, proposals, and agreements, whether oral or written, relating to the Program. The Creator acknowledges that they have not relied upon any statement, promise, representation, or assurance not expressly set out in these Terms.
15. Electronic Acceptance
By registering, signing up, creating an account, joining, accessing, or participating in the Caimera Creative Partner Program, the Creator acknowledges that they have read, understood, and agree to be bound by these Terms & Conditions, as amended from time to time.
Such registration or participation shall constitute the Creator's legally binding acceptance of these Terms without the need for any separate signature, written acknowledgment, or additional consent.
